2. AGREEMENT OVERVIEW

This Affiliate Agreement (“Agreement”) is entered into between DIGIFABRICA LTD (“Company,” “we,” “us,” or “our”) and you (“Affiliate,” “you,” or “your”) for participation in our affiliate marketing program. By joining our affiliate program, you agree to be bound by the terms and conditions set forth in this Agreement.

3. DEFINITIONS

Affiliate: An individual or entity approved to promote Company products through the affiliate program
Affiliate Link: A unique tracking link provided to identify sales generated by the Affiliate
Commission: The percentage or fixed amount paid to Affiliate for qualified sales
Customer: An end user who purchases products through an Affiliate’s promotional efforts
Qualified Sale: A completed purchase that meets all program requirements
Products: Digital products available for promotion through our marketplace platform
Vendor: Third-party sellers offering products on our platform

4. AFFILIATE PROGRAM PARTICIPATION

4.1 Application and Approval

You must apply and be approved before participating in the affiliate program
We reserve the right to accept or reject any application at our sole discretion
Approval may be revoked at any time for violation of this Agreement
You must provide accurate and complete information during application

4.2 Eligibility Requirements

Must be at least 18 years of age
Must have legal capacity to enter into this Agreement
Must comply with all applicable laws and regulations
Must not engage in any illegal or unethical marketing practices

4.3 Account Setup

You will receive a unique affiliate ID and tracking links
You are responsible for maintaining the confidentiality of your account information
One person or entity may maintain only one affiliate account
Account sharing is strictly prohibited

5. COMMISSION STRUCTURE AND PAYMENTS

5.1 Commission Rates

Commission rates vary by product and vendor
Commission rates are displayed in your affiliate dashboard
Rates may be changed with 30 days’ notice
Special promotional rates may be offered temporarily

5.2 Commission Calculation

Commissions are calculated on net sales (excluding taxes, refunds, and chargebacks)
Only first-time customer purchases through your link qualify (unless otherwise specified)
Self-referral purchases are strictly prohibited
Cookie duration for tracking is 30 days (unless otherwise specified)

5.3 Payment Terms

Payment Schedule: Monthly payments on the 15th of each month
Minimum Payout: $50 minimum threshold for payment processing
Payment Methods: Stripe and Stripe Express
Currency: Payments made in USD unless otherwise agreed

5.4 Payment Information

You must provide accurate payment information
Any payment processing fees may be deducted from your commission
You are responsible for all applicable taxes on commission income
We will provide necessary tax documentation as required by law

6. AFFILIATE RESPONSIBILITIES AND OBLIGATIONS

6.1 Marketing Standards

Must clearly disclose affiliate relationships in all promotional materials
Must comply with FTC guidelines and UK advertising standards
Must not make false, misleading, or exaggerated claims about products
Must not engage in spam or unsolicited email marketing

6.2 Promotional Methods

Permitted Methods:

Organic social media marketing
Content marketing (blogs, reviews, tutorials)
Email marketing to opted-in subscribers
Paid advertising (with prior approval)
SEO and content creation

Prohibited Methods:

Spam email or unsolicited communications
Trademark bidding in paid search without permission
Cookie stuffing or forced clicks
Incentivized traffic or fake reviews
Adult or inappropriate content association

6.3 Brand Guidelines

Must not alter or modify provided marketing materials without permission
Must use approved product descriptions and images
Must not create confusion about relationship with Company
Must maintain professional representation of brand

6.4 Compliance Requirements

Must comply with all applicable laws (GDPR, consumer protection, etc.)
Must include required legal disclosures
Must not target minors without appropriate safeguards
Must respect intellectual property rights

7. TRACKING AND ATTRIBUTION

7.1 Tracking Technology

Sales are tracked through cookies and unique affiliate links
You must use provided tracking links for all promotions
Manual attribution requests will not be accepted
Technical issues with tracking must be reported promptly

7.2 Attribution Rules

Last-click attribution model (30-day cookie window)
First purchase only (no recurring commissions unless specified)
Self-referrals and family/friend purchases are prohibited
Fraudulent or artificial traffic will result in account termination

8. PROHIBITED ACTIVITIES

8.1 Strictly Forbidden

Trademark and brand name bidding in search advertising
Direct linking to product pages in paid search (landing page required)
Coupon and deal sites without explicit written permission
Cashback and loyalty sites without prior approval
Pop-ups, pop-unders, or forced redirects

8.2 Content Restrictions

No adult, violent, or inappropriate content association
No illegal or harmful product promotion
No false scarcity or misleading urgency tactics
No impersonation of Company or unauthorized endorsements

8.3 Technical Violations

Cookie dropping or manipulation
Click fraud or artificial traffic generation
Link cloaking without disclosure
Automated bot traffic or click farms

9. INTELLECTUAL PROPERTY

9.1 License Grant

Limited, non-exclusive license to use provided marketing materials
License terminates upon agreement termination
No rights to Company trademarks beyond promotional use
Must not modify logos or branded content without permission

9.2 Content Ownership

Company retains all rights to its intellectual property
You retain rights to your original promotional content
Grant Company right to use your content for promotional purposes
Must not infringe on third-party intellectual property rights

10. PERFORMANCE MONITORING AND REPORTING

10.1 Dashboard Access

Real-time access to performance statistics
Click, conversion, and commission data
Monthly and historical reporting
Export capabilities for tax and record-keeping purposes

10.2 Performance Standards

Must maintain minimum activity levels
Inactive accounts may be suspended after 90 days
Quality standards must be maintained for continued participation
Regular performance reviews may be conducted

11. AGREEMENT TERMINATION

11.1 Termination by Affiliate

May terminate with 30 days’ written notice
Final commissions paid according to regular schedule
Must cease all promotional activities immediately
Return or destroy confidential materials

11.2 Termination by Company

May terminate immediately for cause or with 30 days’ notice without cause
Cause includes Agreement violations, fraudulent activity, or harmful conduct
Outstanding commissions for qualified sales will be paid
All promotional activities must cease immediately

11.3 Effect of Termination

License to use marketing materials terminates
Access to affiliate dashboard suspended
Confidentiality obligations survive termination
Accrued commissions remain payable if qualifying

12. WARRANTIES AND DISCLAIMERS

12.1 Mutual Warranties

Both parties warrant legal capacity to enter this Agreement
Both parties warrant compliance with applicable laws
Both parties warrant accuracy of provided information

12.2 Disclaimers

No guarantee of minimum earnings or performance
Commission rates and program terms subject to change
Technical issues may occasionally affect tracking
Third-party product performance not guaranteed by Company

13. INDEMNIFICATION

You agree to indemnify and hold harmless Company from any claims, damages, losses, or expenses arising from:

Your violation of this Agreement
Your promotional activities and content
Your non-compliance with applicable laws
Third-party claims related to your marketing methods

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Company’s liability is limited to unpaid commissions owed
No liability for indirect, incidental, or consequential damages
No liability for technical issues affecting tracking or reporting
Total liability shall not exceed commissions earned in the 12 months prior to claim

15. CONFIDENTIALITY

15.1 Confidential Information

Commission rates and program details
Customer information and transaction data
Marketing strategies and business plans
Technical systems and tracking methods

15.2 Non-Disclosure

Must not disclose confidential information to third parties
Use confidential information only for program participation
Obligation survives termination of Agreement
Reasonable security measures must be maintained

16. GOVERNING LAW AND DISPUTES

16.1 Governing Law

This Agreement is governed by the laws of England and Wales.

16.2 Dispute Resolution

Good faith negotiation required before formal proceedings
Exclusive jurisdiction of courts in England and Wales
Alternative dispute resolution encouraged
Prevailing party may recover reasonable attorney fees

17. MODIFICATIONS AND UPDATES

17.1 Agreement Changes

Company may modify this Agreement with 30 days’ notice
Material changes require explicit acceptance
Continued participation constitutes acceptance of changes
Right to terminate if changes are unacceptable

17.2 Program Updates

Commission rates may change with notice
New products and categories may be added
Program policies may be updated regularly
Affiliates notified of significant changes via email

18. MISCELLANEOUS

18.1 Independent Contractor

Affiliate is an independent contractor, not employee
No authority to bind Company or make representations
Responsible for own taxes and business expenses
No benefits or employment rights provided

18.2 Entire Agreement

This Agreement constitutes the entire agreement between parties
Supersedes all prior agreements and understandings
May only be modified in writing signed by both parties

18.3 Severability

Invalid provisions do not affect validity of remaining provisions
Court may modify unenforceable provisions to make them valid
Agreement remains in effect despite unenforceable provisions

20. ACCEPTANCE

By participating in the affiliate program, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Affiliate Agreement.
